I would do a restore anyways. But that's probably your issue. I like to restore before every iOS update to prevent any issues.

If you are JB then the OTA update will not work. You can do a restore then the update should work. If you do not want to do a restore just plug your phone into iTunes and then do the update.

U need to hook up to i tunes and restore as a new iPhone and then update the iOS to 6.

You will lose your tweaks and cydia as their is not currently an exploit for this build.
