How can I restore and update a jailbroken iPhone 4 to ios5 if the phone is deactivated? can I just pull out the sim from 4s and put it in the iPhone 4, what is the process? thanks

Yes, you can use your SIM from your 4S to activate your 4, if you require an unlock on the iPhone4 make sure to restore a custom iOS5 firmware in order to preserve your baseband.
